Elon Musk accused of selling $7.5 billion of Tesla stock before releasing disappointing sales data that plunged the share price to two-year low

Elon Musk faces allegations that he illegally sold $7.5 billion worth of equity in Tesla in the fourth quarter of 2022, knowing that the business would disappoint after promising investors an “epic end of year.”

In a lawsuit filed with a Delaware court late last week, shareholder Michael Perry accused both the CEO of deliberately unloading nearly 45 million shares in advance of poor vehicle sales data to prevent an estimated 55% hit in value, and almost the entire board of collectively violating their responsibility of directors toward shareholders.

“By disposing of $7,530,113,926 worth of Tesla stock in November and December 2022 while he was in possession of adverse, material non-public information, E. Musk exploited his position at Tesla, and he breached his fiduciary duties to Tesla,” the lawsuit claims, adding other directors were both “knowing and culpable” as well.

Unlike previous stock sales by Tesla insiders, however, these were not the result of a Rule 10b5-1 trading plan, which removes discretion over timing from an insider and hands them to a third-party broker.

Tesla shares slumped to a two-year low on Jan. 3, 2023, following the release of the car sales data.

He is asking for Musk’s illegal gains—which the plaintiff estimates at $3 billion—to be returned to the company via disgorgement, and is seeking damages from all eight directors at the time for their “reckless disregard.”

The insider trading claims are Musk’s latest legal headache following the January ruling that voided his 2018 shareholder vote for a record compensation deal. Tesla is re-running the vote at the June 13 annual meeting.
‘Ruthless measurers’ at Tesla knew Q4 would disappoint

Core to Perry’s argument is establishing motive through the assertions that Musk knew, first, that he still needed to liquidate stock at as high a price as possible to cover a loan for purchasing Twitter; and second, that fourth-quarter sales trended well behind his bullish October 2022 expectations (Fortune even predicted as much at the time).

Just days after boasting about “excellent demand for Q4,” he slashed prices in China—the first of many cuts yet to come.

Musk may have been aware of softening sales because of what his former powertrain head Drew Baglino described last March as a corporate culture composed of “ruthless measurers,” all harnessing up-to-the-minute data to boost sales and optimize every aspect of Tesla’s business.

“I’m not sure there’s any company on Earth that has better real-time data than Tesla,” Musk said during the Q1 investor call last year. “Our finger on the pulse is real-time and does not have latency.”

Musk went so far as to say he personally examines the results of each price change to ensure production can continuously balance demand, rising when Tesla has too many orders and falling when it has too few.

“We see what happens immediately, and adjust course. We’re thinking about it literally every day,” he continued. “Seven days a week I look at that email and so does the rest of the team.”

Using his logic, the CEO would have known that Q4 would not meet market expectations and sold his shares anyway.

Perry’s lawsuit argued that it was reasonable to infer he did so to avoid losing money, having promised nothing short of an “epic end of year” only weeks earlier.

“Musk sold this stock before the non-public information in his possession could be publicly disclosed and affect the company’s stock price,” the suit claims.

Elon Musk does not grasp EU fears about disinformation on X, official says

Elon Musk, the billionaire owner of X, formerly known as Twitter, lacks understanding of European concerns over the hatred and division that can result from the spread of disinformation, a senior EU commissioner has said.

Speaking just days before the European parliamentary elections, in which disinformation, particularly Russian-backed propaganda, has been a key issue, Věra Jourová criticised what she said was a clear deterioration in content moderation on X since Musk bought the platform in 2022.

“Elon Musk, from the beginning of his endeavour with Twitter, I think he lacks some understanding of why we in the EU are so careful or cautious when we see the first seeds of something that might grow bigger, because of the history in the previous century where the first signs of antisemitism were not stopped,” she said.

“Because we have these bloody lessons from our history, we are more cautious, maybe, than the US.”

Jourová, as the European commission’s vice-president of values and transparency, deals with democracy, rule of law and disinformation in the 27-member bloc. She also stressed the need for Meta, the owner of Facebook and Instagram, to strengthen efforts to combat propaganda.

Ahead of the European elections, which run from Thursday until Sunday, Jourová said there had been waves of “attempts to influence the information space” and to polarise the public in countries such as Slovakia, where there was a recent attempted assassination of the prime minister, Robert Fico.

The commission was concerned about the “magnitude of disinformation” and the “magnitude of the reach” of platforms such as Facebook and X that reach billions worldwide, she added.

“Member states in the Baltics are worried in general about the big intensity of Russia propaganda reaching Russian-speaking citizens,” she said.

To fulfil their responsibility to remove illegal and foreign interference, big tech companies needed to employ people who knew what they were talking about, said Jourová, who had just returned from a visit to Silicon Valley.

She revealed that the commission was looking at whether it could bring the messaging app Telegram, popular in eastern European countries, into its regulatory orbit. With 41 million active users a month in the EU, it is below the 45 million-user threshold that would classified it under EU law as a “very large online platform”.

“We have to check [these numbers] because there are big complaints about Telegram, especially in the Baltic countries, and countries where there are a high number of Russian-speaking people,” said Jourová.

Sitting in her Brussels office beneath a large print of Václav Havel, the former Czech president, writer and cold-war dissident, and another of Anna Politkovskaya, the American-Russian journalist who was assassinated in Moscow in 2006, she spoke of how “damaged” society had become through efforts to undermine free and legal speech.

She said she had told X’s chief executive, Linda Yaccarino, that the “community notes” system the platform had introduced to improve its moderation was not the answer the EU was seeking.

Jourová said X argued that the notes, which allow users to challenge content, had a “self-purifying” effect.

“But my answer was: we would like to see factchecking done by the people who understand the subjects, who are not activists, who are not biased and who can recognise the difference between facts and opinions,” Jourová said.

“You need people who understand the language, the history and the law of member states where key decisions of the supreme courts or constitutional courts have established what the limit of freedom of speech is. Words have meaning and that is why we would like them [X] to hire the professionals who can do this job,” she said.

She said she agreed with Musk that freedom of speech was a priority. But, she added, he needed to understand that in Europe, that freedom comes with a cluster of laws banning hate speech and incitement to violence. Big tech companies, she added, had to be alert to the creation of “waves of hate and racism” that could lead to a “chain of violence”.

Another matter of deep concern to the commissioner, who is not seeking to return to Brussels after her current mandate expires, is the impact of social media on children and young people.

There were “too many suicides, cases of bulimia, mentally ill young people, too much harassment, bullying”, she said, predicting that the mental health of children who have grown up on social media would be the “number-one topic in the next five years”.

Serious research was needed to gather data on the formative effect social media may have on young people’s values and their understanding of the principles of society and acceptable behaviour, Jourová said.

“This world has been broken, damaged somehow. My generation has spoiled a lot of things,” she said. “Our big hope is the younger generation, and suddenly I see that part of it is being entrapped by the system. It’s really scary. That’s why we need to discuss this at the highest possible level. There must be a discussion ongoing in the triangle of the worlds of politics, research and technologies.”

Telegram said it was abiding by EU sanctions on access to Russian outlets such as RT (formerly Russia Today) and Sputnik. It also said it was “not an effective platform for spreading disinformation” and “unlike other apps” it does not “use algorithms to promote sensational content”. It added it was giving access to uncensored news to users in Russia.

Elon Musk drops lawsuit after OpenAI published his emails

Lawyers for Elon Musk on Tuesday moved to dismiss the billionaire’s lawsuit against OpenAI and CEO Sam Altman, ending a months-long legal battle between co-founders of the artificial intelligence startup.

Musk — who co-founded OpenAI in 2015 — sued the company in February, accusing the ChatGPT maker of abandoning its original, nonprofit mission by reserving some of its most advanced AI technology for private customers. The lawsuit had sought a jury trial and for the company, Altman and co-founder and president Greg Brockman to pay back any profit they received from the business.

But OpenAI quickly pushed back against Musk’s claims, calling them “incoherent” and “frivolous” and arguing in a court filing that the case should be dismissed. The company also published a blog post that included several of Musk’s emails from OpenAI’s early days. The emails appeared to show Musk acknowledging the need for the company to make large sums of money to fund the computing resources needed to power its AI ambitions, which stood in contrast to the claims in his lawsuit that OpenAI was wrongly pursuing profit.

Musk’s lawyers did not cite a reason for their request to drop the lawsuit in Tuesday’s filing. A hearing regarding OpenAI’s motion to dismiss the case had been scheduled for Wednesday.

The move to drop the lawsuit also came one day after Musk fired off a string of posts on his social media platform X criticizing OpenAI and its handling of user data, after Apple announced a partnership that integrates ChatGPT with digital personal assistant Siri for users on an opt-in basis.

“If Apple integrates OpenAI at the OS (operating system) level, then Apple devices will be banned at my companies. That is an unacceptable security violation,” Musk said in one post. (Apple said as part of its announcement that user queries sent to ChatGPT will not be stored by OpenAI.)

The Musk-OpenAI legal battle represented the diverging visions for how the ChatGPT maker — which has quickly skyrocketed in value and become the leader in the burgeoning AI space that many see as the future of technology — should be managed.

Musk accused OpenAI of racing to develop powerful “artificial general intelligence” technology to “maximize profits.” OpenAI, meanwhile, accused Musk of essentially being jealous that he was no longer involved in the startup, after he left OpenAI in 2018 following an unsuccessful bid to convince his fellow co-founders to let Tesla acquire it.

But while OpenAI called Musk’s claims “a fiction,” the billionaire is not the only person who has raised questions about OpenAI’s leadership and direction. The company last year faced a high-profile leadership crisis that led to Altman’s temporary ouster from the company, apparently over concerns by several board members about the risks of artificial intelligence. After days of uncertainty and an intervention by Microsoft, a major investor in OpenAI, Altman was restored to his position in what industry analysts said was a victory for those seeking to commercialize AI technology.

More recently, multiple high-profile OpenAI safety leaders exited the company, with several publicly claiming the company had prioritized quickly rolling out new products over safety. Weeks later, the company said it had established a new committee that would make recommendations to the company’s board about safety and security.

Elon Musk says AI will take all our jobs

Elon Musk says artificial intelligence will take all our jobs and that’s not necessarily a bad thing.

“Probably none of us will have a job,” Musk said about AI at a tech conference on Thursday.

While speaking remotely via webcam at VivaTech 2024 in Paris, Musk described a future where jobs would be “optional.”

“If you want to do a job that’s kinda like a hobby, you can do a job,” Musk said. “But otherwise, AI and the robots will provide any goods and services that you want.”

For this scenario to work, he said, there would need to be “universal high income” – not to be confused with universal basic income, although he did not share what that could look like. (UBI refers to the government giving a certain amount of money to everyone regardless of how much they earn.)

“There would be no shortage of goods or services,” he said.

AI capabilities have surged over the past few years, fast enough that regulators, companies and consumers are still figuring out how to use the technology responsibly. Concerns also continue to mount over how various industries and jobs will change as AI proliferates in the market.

In January, researchers at MIT’s Computer Science and Artificial Intelligence Lab found workplaces are adopting AI much more slowly than some had expected and feared. The report also said the majority of jobs previously identified as vulnerable to AI were not economically beneficial for employers to automate at that time.

Experts also largely believe that many jobs that require a high emotional intelligence and human interaction will not need replacing, such as mental health professionals, creatives and teachers.

Musk has been outspoken about his concerns around AI. During the keynote on Thursday, he called the technology his biggest fear. He cited the “Culture Book Series” by Ian Banks, a utopian fictionalized look at a society run by advanced technology, as the most realistic and “the best envisioning of a future AI.”

In a job-free future, though, Musk questioned whether people would feel emotionally fulfilled.

“The question will really be one of meaning – if the computer and robots can do everything better than you, does your life have meaning?” he said. “I do think there’s perhaps still a role for humans in this – in that we may give AI meaning.”

He also used his stage time to urge parents to limit the amount of social media that children can see because “they’re being programmed by a dopamine-maximizing AI.”

Adios, accountability: X to hide 'likes' for everyone this week

After making the option available for Premium users last year, the site formerly known as Twitter has decided to begin hiding everyone's "likes" to "better protect your privacy."

X's engineering team shared the news on its account yesterday, saying that it planned to flip the private-like switch sometime this week. Once it does, the Likes tab on user profiles will be gone, though one can still see a list of posts they themselves have "liked." As of writing, the tab is still visible on user profiles.

The change essentially means X users will no longer be able to see who has "liked" a particular post or what posts a particular person has "liked," but users will still be able to see metrics from their own posts, as well as a full list of people who've "liked" their posts.

If this hiding system sounds half thought out and rife with possibilities for blackmail and abuse – no, it's not just you.

X owner Elon Musk, whose preferred method of engaging with hate speech isn't to passively hit "like" but rather to write an endorsement, might not have to worry about being blackmailed with his now-secret likes, but others will. Twitter accounts belonging to US Senator Ted Cruz and Kentucky state senator Jason Howell, for example, have both been caught tapping "like" on pornographic posts in the past. With such an engagement secret to all but the original poster, you can begin to see the possibilities of such information in the hands of a bad actor – a fact plenty of X users pointed out in response to the X engineering team's post.

And it's not like X isn't trying to encourage users to let loose and provide it with all those juicy, personally compromising online endorsements: The company's director of engineering basically did just that last month.

"Public likes are incentivizing the wrong behavior," Haofei Wang said in response to speculation that X was considering hiding "likes" by default for all users. "For example, many people feel discouraged from liking content that might be 'edgy' in fear of retaliation from trolls, or to protect their public image."

Wang added that soon that won't be an issue, and encouraged users to smash that "like" button because "the more posts you like, the better your For you algorithm will become."

Beyond the possibilities for blackmail, other X users responding to the engineering team pointed out that the decision to get rid of public "likes" is essentially an admission that X can't solve its bot problem, once a dealbreaker for Musk's purchase of Twitter. Since the billionaire strolled into HQ carrying a sink, however, researchers have found that bots are a worse problem than before.

The move also kills the community's ability to validate a post's engagement, one user pointed out, by being able to verify that "likes" came from organic users and not bots. Others said it would do nothing but enable fraud and make it easier to manipulate posts related to upcoming elections in the US and elsewhere.

OpenAI-pomo lopetti Muskin mielistelyn: ”Olemme surullisia”

Musk oli yksi OpenAI:n perustajista, mutta lähti yhtiöstä vuonna 2018 ja perusti viime vuonna oman x.AI-yhtiönsä OpenAI:n kilpailijaksi. Musk myös haastoi OpenAI:n oikeuteen aiemmin tänä vuonna, joskin veti juuri kanteensa takaisin.

Muskin kommentteja ja implikaatioita siitä, että kaikki Applen laitteet tulevat jatkossa olemaan OpenAI:n vakoilulaitteita, on pidetty ylimitoitettuina. Etenkin näin on siksi, että Apple ei joudu luottamaan OpenAI:n sanaan käyttäjiensä yksityisyyden kunnioittamisesta, vaan asiasta huolehditaan teknisesti.

Muskin hiiltyneet kommentit saivat joka tapauksessa paljon huomiota X:ssä, ja jotkin käyttäjät jopa ehdottivat Tesla-puhelimen kehittämistä.

Musk vastasi tähän, että jos Apple tosiaan integroi OpenAI:n ”woke-holhous-tekoäly-vakoiluohjelman” käyttöjärjestelmäänsä, näin on ehkä ”pakko tehdä”.

Kiihtyneenä lauotuille kommenteille tuskin kannattaa antaa kovin paljon painoarvoa. Nyt kun Apple on lyönyt hynttyyt yhteen Muskin vihaaman OpenAI:n kanssa ja jättänyt soittamatta Muskille on kuitenkin aina mahdollista, että impulsiivisuudestaan tunnettu miljardööri toteuttaa uhkauksensa.
